Responsibilities
- Advise on corporate governance, mergers & acquisitions, and securities compliance
- Draft and negotiate complex commercial contracts and partnership agreements
- Manage intellectual property portfolios and trademark enforcement
- Lead regulatory compliance initiatives for FINRA and SEC requirements
- Provide strategic legal guidance to executive leadership and board committees
- Oversee litigation management and dispute resolution processes
- Mentor junior legal staff and develop department best practices
Qualifications
- Juris Doctor (JD) from ABA-accredited law school
- 10+ years corporate law experience at top-tier law firm or in-house
- Active California State Bar membership
- Deep expertise in securities regulations and M&A transactions
- Proven ability to manage complex legal projects independently
- Strong negotiation skills with contract drafting experience
- Experience in financial services or fintech industry preferred
- Excellent communication and presentation abilities
