Responsibilities
- Lead complex M&A transactions due diligence and integration
- Develop corporate governance policies and board materials
- Manage international regulatory compliance across 15+ jurisdictions
- Advise on intellectual property protection strategies
- Negotiate high-value commercial contracts and vendor agreements
- Oversee corporate restructuring and divestiture initiatives
- Mentor junior legal staff and drive legal process optimization
Qualifications
- Juris Doctor degree from ABA-accredited law school
- 10+ years corporate law experience at top-tier law firms or in-house
- Active NY State bar license and in-house counsel certification
- Proven expertise in SEC reporting and Sarbanes-Oxley compliance
- Advanced knowledge of international trade regulations
- Strong M&A transaction experience (>$500M deals)
- Exceptional negotiation and communication skills
