Responsibilities
- Lead M&A transactions, joint ventures, and strategic partnerships from due diligence to closing
- Develop and implement corporate governance policies and board materials
- Manage compliance programs for federal/state regulations and industry standards
- Advise on corporate restructuring, securities filings, and shareholder communications
- Negotiate complex commercial contracts and vendor agreements
- Oversee intellectual property protection strategies and portfolio management
- Provide counsel on employment law matters and HR policies
Qualifications
- Juris Doctor (JD) degree from ABA-accredited law school
- Minimum 8 years of corporate law experience at a top-tier law firm or in-house
- Active Washington State bar license
- Proven expertise in M&A transactions and corporate restructuring
- Deep knowledge of SEC regulations and corporate governance best practices
- Exceptional negotiation skills with contract drafting experience
- Ability to manage complex projects in a fast-paced, deadline-driven environment
- Strong business acumen and strategic thinking abilities
